1. Acceptance

By creating an account or using the S4PMIA platform ("Services"), you agree to these Terms. If you're accepting on behalf of an advisory firm, you're confirming you're authorised to do so, and "you" below means that firm.

2. Who this is for

The Services are built for SEBI-registered Investment Advisers and their staff, to manage their own clients' financial data, reporting, and analysis. They are not a consumer product, and end-clients of an advisory firm do not get their own S4PMIA accounts — their advisor manages their data on their behalf.

3. Not investment advice

S4PMIA is a software tool, not an investment adviser. Nothing generated by the Services — including any calculation, report, risk category, or flag — is investment advice, a recommendation, or a substitute for your own professional judgment. You are solely responsible for any advice you give your own clients.

4. We are not a SEBI-registered intermediary

S4PMIA is not registered with SEBI as an Investment Adviser, Research Analyst, or any other market intermediary, and does not need to be, because the Services do not themselves provide investment advice, execute trades, or perform any other regulated activity. You are responsible for holding and maintaining your own SEBI registration for as long as you use the Services in your advisory business.

6. Subscription and fees

Paid access to the Services is provided under the tier you've subscribed to (see our pricing) and, for firms with a signed copy, additionally governed by our Advisor Agreement, which takes precedence over these Terms on data-processing, security, and liability matters where the two differ.

8. Intellectual property

We own the Services — the software, calculation logic, report templates, and the S4PMIA name and branding. You own the data you and your clients put into it.

9. Disclaimers

The Services are provided "as is," without warranty of any kind. We do not warrant that the Services will be uninterrupted, error-free, or that any calculation or output is accurate for your client's particular circumstances. Review every output before relying on it.

10. Limitation of liability

To the extent permitted by law, our total liability to you arising out of these Terms is capped at the fees you paid us in the preceding 12 months, and neither of us is liable for indirect or consequential loss. 11. Termination

You may stop using the Services at any time. We may suspend or terminate your account for a material breach of these Terms, non-payment, or if required by law. See our Privacy Policy for what happens to your data after termination.

12. Changes to these Terms

We may update these Terms from time to time. We'll notify you of material changes (by email or in-app notice) before they take effect.

13. Governing law

These Terms are governed by the laws of India, and subject to the exclusive jurisdiction of the competent courts in India.
